{"id":30,"date":"2026-06-25T04:33:18","date_gmt":"2026-06-25T04:33:18","guid":{"rendered":"https:\/\/startandpower.com\/terms\/"},"modified":"2026-08-07T07:19:54","modified_gmt":"2026-08-07T07:19:54","slug":"terms","status":"publish","type":"page","link":"https:\/\/startandpower.com\/nb\/terms\/","title":{"rendered":"Terms"},"content":{"rendered":"<section class=\"section band-dark page-hero\">\n<div class=\"container\">\n<p class=\"eyebrow\">Legal<\/p>\n<h1>Terms of Service<\/h1>\n<p class=\"page-hero__lead\">The terms that govern your use of startandpower&#8217;s website and our managed services.<\/p>\n<\/p><\/div>\n<\/section>\n<section class=\"section\" id=\"terms\">\n<div class=\"container\">\n<div class=\"prose\">\n<p><strong>Last updated:<\/strong> 7 August 2026<\/p>\n<p>These Terms of Service (&#8220;Terms&#8221;) are an agreement between Start And Power LLC (&#8220;startandpower&#8221;, &#8220;we&#8221;, &#8220;us&#8221;, or &#8220;our&#8221;) and you, and govern your access to and use of startandpower.com and our services. By using our website, requesting a quote, or subscribing to a plan, you agree to these Terms. If you are acting on behalf of a company, you confirm you have authority to bind that company, and &#8220;you&#8221; means the company.<\/p>\n<p>These Terms cover our <strong>managed services<\/strong>: platform and website creation, AI automation, online platform management, and payment infrastructure. Our software product <strong>docil.ai<\/strong> is a separate service with its own terms, available at docil.ai. Where your plan includes access to docil (see Section 7), your use of docil is governed by those terms.<\/p>\n<h3>1. Our services and how they are priced<\/h3>\n<p>Our services have two parts, priced separately:<\/p>\n<ul>\n<li><strong>The build:<\/strong> a one-time project in which we create your platform \u2014 website, domain, email, payment setup, and initial automations, as agreed in your quote. The build is quoted individually before work begins, based on scope. The quote we send you, once you accept it, forms part of this agreement.<\/li>\n<li><strong>The monthly plan:<\/strong> a recurring subscription (Start, Power, or Power Max) covering maintenance and management of what we built \u2014 hosting, updates, monitoring, support, and the ongoing services listed for your plan on our <a href=\"\/nb\/pricing\/\">Pricing<\/a> page.<\/li>\n<\/ul>\n<p>The features of each plan are those listed on the Pricing page at the time you subscribe. Limits such as the number of automations or email accounts refer to what we build and manage for you under the plan; work beyond your plan&#8217;s scope is quoted separately before we do it.<\/p>\n<h3>2. Eligibility and accounts<\/h3>\n<p>You must be at least 18 and able to enter into a binding contract to use our services. Our services are intended for business use. You are responsible for keeping any account credentials secure and for activity that happens under your account, and for ensuring the information you give us is accurate and kept up to date.<\/p>\n<h3>3. Quotes, build process, and acceptance<\/h3>\n<p>Build quotes are valid for 30 days unless the quote says otherwise. Work begins once you accept the quote and pay the amount or first installment stated in it. During the build we may need content, access, and timely feedback from you; delays in providing them may extend delivery times. When the build is complete, we will present it for your approval before it goes live. Approval is not unreasonably withheld; going live, or using the platform commercially, counts as approval.<\/p>\n<h3>4. Subscriptions, billing, and automatic renewal<\/h3>\n<p>Monthly plans are billed in advance on a recurring basis at the prices shown on the <a href=\"\/nb\/pricing\/\">Pricing<\/a> page when you subscribe, in US dollars unless stated otherwise. Power Max is billed annually in advance. <strong>Your subscription renews automatically<\/strong> at the end of each billing period \u2014 monthly for Start and Power, yearly for Power Max \u2014 until you cancel. By subscribing, you authorize us to charge your payment method for the applicable fees at each renewal.<\/p>\n<p>We may change plan prices with at least 30 days&#8217; notice; changes take effect at your next renewal, and you can cancel before then if you don&#8217;t accept them. Taxes are your responsibility where applicable and may be added to the price. If a payment fails, we will notify you and retry; if it remains unpaid, Section 11 applies.<\/p>\n<h3>5. Cancellation and refunds<\/h3>\n<p>You can cancel your subscription at any time from your account or by writing to us. Cancellation takes effect at the end of your current billing period \u2014 monthly plans run to the end of the paid month, and Power Max to the end of the paid year. We do not charge cancellation fees, and there is no long-term lock-in beyond the current period.<\/p>\n<p>How cancellation affects each payment, including the build fee, is set out in our <a href=\"\/nb\/refund-policy\/\">Refund &amp; Cancellation Policy<\/a>, which forms part of these Terms. Unless that policy or applicable law says otherwise, fees already paid are non-refundable.<\/p>\n<h3>6. What happens when your subscription ends<\/h3>\n<p>When your subscription ends, our maintenance and management obligations end with it. So that leaving is fair and predictable:<\/p>\n<ul>\n<li><strong>Your domain is yours.<\/strong> If we registered or manage your domain, we will transfer it to a registrar account you control, at your request, at no additional charge beyond any registrar fees.<\/li>\n<li><strong>Your content and data are yours.<\/strong> On request within 30 days of the end date, we will provide an export of your website content, email data, and other data we hold for you in a standard format.<\/li>\n<li><strong>Hosting ends.<\/strong> We will keep your platform online for 30 days after the end date to allow migration, unless you ask us to take it down sooner. After that period, we may delete it and any data we hold, subject to our legal retention obligations.<\/li>\n<li><strong>Third-party accounts<\/strong> created in your name (payment processor, tools, integrations) remain yours; we will hand over control of them on request.<\/li>\n<\/ul>\n<h3>7. docil.ai access included in your plan<\/h3>\n<p>Every plan includes access to docil.ai free of charge for 12 months from the date your platform goes live. Your use of docil is governed by docil&#8217;s own terms and privacy policy. When the 12 months end, docil access under your plan expires; you may continue by subscribing to docil separately at the rates published at docil.ai. Ending or not renewing docil does not affect your platform, your automations, or your monthly plan, which continue unchanged.<\/p>\n<h3>8. Acceptable use<\/h3>\n<p>You agree not to misuse our services or the infrastructure we manage for you \u2014 including using them unlawfully, sending spam or unsolicited bulk email, distributing malware, hosting infringing or illegal content, attempting to disrupt or gain unauthorized access to systems, or infringing the rights of others. Because the platforms we manage share infrastructure and reputation (for example, email deliverability), we may act under Section 11 if your use puts other clients or our services at risk.<\/p>\n<h3>9. Intellectual property<\/h3>\n<p>We retain all rights to our website, our tools, our know-how, and any pre-existing materials, templates, and components we use to deliver services. Upon full payment of the build fee, you receive ownership of the custom deliverables created specifically for you \u2014 your website content, design as delivered, and custom code written for your project \u2014 excluding our pre-existing components and third-party materials, which are licensed to you as needed to use your platform normally. Any separate agreement covering custom SaaS development prevails over this section for that work.<\/p>\n<h3>10. Your content and data<\/h3>\n<p>You keep ownership of the data and content you provide. You grant us the rights needed to host, display, process, and back it up in order to provide the services. You are responsible for having the rights to the content you give us and for its legality. Where we process personal data belonging to your customers or users on your behalf, we act as your data processor \/ service provider, as described in our <a href=\"\/nb\/privacy-policy\/\">Privacy Policy<\/a>; a data processing agreement is available on request.<\/p>\n<h3>11. Suspension and termination<\/h3>\n<p>We may suspend or limit the services, after notice where practicable, if payment is overdue, if your use breaches Section 8, or if it threatens the security or integrity of our infrastructure or other clients. We may terminate the agreement if a breach is not cured within 14 days of notice, or immediately for serious or unlawful misuse. You may stop using our services at any time by cancelling under Section 5. Sections that by their nature should survive termination \u2014 including payment obligations, intellectual property, disclaimers, and limitation of liability \u2014 survive it.<\/p>\n<h3>12. Service availability<\/h3>\n<p>We work to keep the platforms we manage available and reliable, with monitoring, backups, and maintenance included in your plan. However, we do not guarantee uninterrupted or error-free operation, and availability may be affected by maintenance windows, third-party providers (such as hosting, domain registries, or payment processors), and events outside our reasonable control. We will use reasonable efforts to schedule planned maintenance at low-impact times.<\/p>\n<h3>13. Third-party services<\/h3>\n<p>Delivering your platform involves third-party services \u2014 hosting, domain registries, payment processors, email providers, and the tools we integrate. Those services have their own terms, which apply to your use of them. We are not responsible for third-party services, their availability, or changes they make, but we will use reasonable efforts to adapt your platform when a third party changes something that affects it.<\/p>\n<h3>14. Disclaimers<\/h3>\n<p>Except as expressly stated in these Terms, our services are provided &#8220;as is&#8221; and &#8220;as available&#8221;, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant any particular business results from the platforms, automations, or campaigns we build or manage.<\/p>\n<h3>15. Limitation of liability<\/h3>\n<p>To the maximum extent permitted by law: (a) startandpower is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, revenue, profits, or business opportunities, arising from or related to the services; and (b) our total aggregate liability for all claims arising out of or related to these Terms or the services will not exceed the amounts you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.<\/p>\n<h3>16. Indemnification<\/h3>\n<p>You will defend and indemnify startandpower against third-party claims arising from your content, your use of the services in breach of these Terms, or your violation of law or third-party rights, including reasonable legal fees.<\/p>\n<h3>17. Changes to these Terms<\/h3>\n<p>We may update these Terms from time to time. The latest version will always appear on this page, with the effective date shown at the top. If a change is material, we will notify active subscribers by email or through the service at least 30 days before it takes effect. Continued use after the effective date means you accept the updated Terms; if you do not accept them, you may cancel under Section 5 before they take effect.<\/p>\n<h3>18. Governing law and disputes<\/h3>\n<p>These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles. The state and federal courts located in Wyoming will have exclusive jurisdiction over disputes arising from these Terms or the services, and each party consents to their jurisdiction. If you are a consumer in a jurisdiction whose law grants you mandatory rights or a different forum, nothing in this section deprives you of them. Before filing a claim, both parties agree to try in good faith to resolve the dispute informally by contacting the other.<\/p>\n<h3>19. General<\/h3>\n<p>These Terms, together with your accepted quote, our <a href=\"\/nb\/refund-policy\/\">Refund &amp; Cancellation Policy<\/a>, and our <a href=\"\/nb\/privacy-policy\/\">Privacy Policy<\/a>, form the entire agreement between us regarding the services. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign this agreement without our consent; we may assign it in connection with a merger or sale of our business. Neither party is liable for delays caused by events beyond its reasonable control.<\/p>\n<h3>20.
